Norman M. Powell to Join the TriBar Opinion Committee

WILMINGTON, DE - Norman M Powell, chair of Young Conaway’s Legal Opinions Committee, has accepted an invitation to join the TriBar Opinion Committee. The “TriBar”, which at its founding consisted of certain members of the New York City, County, and State Bar Associations, has evolved to include members of the bar associations of Boston, California, Chicago, Delaware, the District of Columbia, Georgia, Michigan, North Carolina, Pennsylvania, and Texas. Throughout its history, TriBar has prepared a number of influential reports on third-party legal opinions, including Third-Party “Closing” Opinions, 53 Bus. Law. 591 (1998), Special Report of the TriBar Opinion Committee: U.C.C. Security Interest Opinions – Revised Article 9, 58 Bus. Law. 1449 (2003), Third Party Closing Opinions: Limited Liability Companies, 61 Bus. Law 679 (2006), Supplemental TriBar LLC Opinion Report: Opinions on LLC Membership Interests, 66 Bus. Law. 1065 (2011), and Third-Party Closing Opinions: Limited Partnerships, 73 Bus. Law. 1107 (2018). The current projects of the TriBar include updated guidance on opinions concerning limited liability companies, and bring down opinions.

Mr. Powell is a partner in the Business Planning and Tax Group at Young Conaway Stargatt & Taylor, LLP.  His primary interests include secured transactions, alternative entities, and third party legal opinions.  From 2014 through 2019, he taught secured transactions as an adjunct professor at the Temple University James E. Beasley School of Law.  He makes presentations for bar associations, trade groups, and law firms, and publishes in a variety of law journals and other periodicals.  An elected member of the American Law Institute (“ALI”), he is the American Bar Association (“ABA”) Business Law Section’s Content Officer (2017-2022), and a former Chair of its Uniform Commercial Code Committee (2012-2015).  Mr. Powell is a Fellow of the American College of Commercial Finance Lawyers, and recently served as its President (2019-2020).  He is a member of the Permanent Editorial Board for Uniform Commercial Code.  He has served as a member of the Working Group on Legal Opinions Foundation’s Board of Directors (2019-2021), and is currently a member of it Advisory Board.  Mr. Powell is admitted to practice in Delaware, New Jersey, New York, and Pennsylvania.
