Vince practices in the firm’s tax and business planning sections. His business practice primarily involves counseling companies in complex business transactions, including, mergers, acquisitions, corporate restructurings, and financing transactions. He also has substantial experience counseling distressed companies with tax issues, Delaware corporate governance advice, and transactional matters. Recently, Vince successfully argued a $350 million NOL tax issue on behalf of a client in the Bankruptcy Court, assisted clients with the negotiation of substantial DIP financing, and structured and negotiated numerous out of court asset sales and liquidations for distressed clients.

Regionally, Vince has served as primary counsel for a number of large businesses. He has represented such businesses with general tax and transactional advice, including stock purchase agreements, LLC agreements, partnership agreements, corporate charter documents and shareholders agreements. One significant business owner client has referred to Vince as a “client’s Swiss army knife who has great business judgment, provides sound practical advice, and is well versed in tax, transactional, and financing matters.”

Vince also has a substantial trust practice. He primarily represents institutional trustees with all aspects of the administration of Delaware statutory and common law trusts, including, transfer of trust situs, trust reviews, tax planning, decanting, merger, and petitions in the Delaware Court of Chancery. Vince has extensive experience with DING Trusts, Delaware asset protection trusts, Delaware dynasty trusts, Delaware statutory trusts, liquidating trusts, settlement trusts and other sophisticated tax planning structures. He routinely combines his tax, trust and transactional experience to advise distressed companies with liquidation structures.

Vince has received numerous professional achievements. Most recently, Vince was recognized as a leading Delaware practitioner by Chambers High Net Worth. Clients told Chambers High New Worth researchers that Vince is "very candid in presenting all the options" and they appreciate his willingness to involve clients in the decision-making process. "He's very responsive and knowledgeable, and he keeps up with changes in the law so as to advise us properly using the latest techniques that might affect his advice." Prior to joining the firm, Vince served as the prestigious Wolcott Fellow for the Delaware Court of Chancery, and served as a full time law clerk to Myron T. Steele, Chief Justice of the Delaware Supreme Court. In those roles, Vince assisted the respective judges with various preeminent Delaware corporate governance cases.
