Internal Investigations

When a stakeholder alleges that mismanagement, an illegal activity, or some other problematic practice has occurred at a business entity, the entity’s board of directors (or its equivalent) may authorize an internal investigation to evaluate the allegations.

Young Conaway attorneys have experience guiding directors and other decision-makers in determining whether to authorize internal investigations and through the internal investigation process.  Our attorneys have helped numerous boards, special committees, and their alternative entity equivalents across multiple business areas to efficiently organize and conduct thorough, independent, good-faith internal investigations that uncover the information the decision-makers need to decide how to proceed. They have assisted those decision-makers to record the processes and results of those investigations into reports that are easy for interested parties to understand and that have a high-probability of being respected by the Court.
