Corporate Partner Elena Norman co-chaired a panel discussion and will be a panelist at the upcoming 2017 ABA International Law Spring Meeting held in Washington, DC (April 25th-29th).
As Co-Chair of the International Ethics Panel, Ms. Norman helped organize "Lawyers' Obligations and Liability in Post-Panama Papers World," which is scheduled for Thursday, April 27th. The program, moderated by Eric Kuhn of Becker Glynn in NY, will provide an in-depth look at "the lawyer’s due diligence, reporting and other obligations with respect to the client, its source of funding and the nature and purpose of a proposed transaction under applicable ethical rules and law."Panelists include: Clare Archer, Penningtons Manches, London, UK, Otavio Carneiro, Veirano Advogados, Rio de Janeiro, Brazil, Raphaël Dalmas, Astura, Paris, France, Andres Gonzalez, Lewin & Wills, Bogotá, Colombia, and Thomas P. Ms. Norman is also participating in a panel discussion on Friday, April 28th entitled, "Navigating the Stormy Waters: MAC Clauses, Earn Out and other Protective Covenants—Do They Stand the Test of Today’s Macro Economic and Political Climate." The panelists will discuss the success or failure of MAC Clauses, Earn-Outs, variable purchase price mechanisms, and other protective structures used in the M&A arena against the backdrop of threats to the financial system and markets, political changes and the fear of terrorism.
