Biography

Clients and co-counsel depend on Paul for his in-depth knowledge of Delaware corporate law and practice, ability to identify key issues, and tireless advocacy on behalf of his clients.  

Paul focuses his practice on corporate and complex commercial litigation in the Delaware Court of Chancery and has litigated cases involving, among other things, mergers and acquisitions, controlling stockholder transactions, stockholder derivative claims, post-closing earn-out and indemnification issues, corporate stock appraisal, shareholder rights plans, advancement and indemnification demands, books and records demands, and alternative entity governance.  In addition to his litigation practice, Paul advises business entities, directors, and officers on matters involving Delaware corporate law.

Paul is a member of the Corporation Law Council of the Corporate Section of the Delaware State Bar Association, which is responsible for proposing and drafting amendments to the Delaware General Corporation Law.
