Biography

Allurie focuses her practice on corporate governance and transactional matters arising in complex and distressed situations. She regularly advises corporations, limited liability companies and limited partnerships, their boards, and stakeholders on governance, fiduciary duties, and strategic transactions across the corporate lifecycle.

Allurie has significant experience representing debtors in financing and mergers and acquisitions transactions in Chapter 11 proceedings, including debtor-in-possession financings, exit financings, asset sales, recapitalizations, and strategic investments. This work frequently involves navigating complex capital structures, intercreditor dynamics, and accelerated timelines, and coordinating closely with financial advisors and other restructuring professionals.

A core component of Allurie’s practice is counseling companies through transition points in Chapter 11, including the shift from pre-petition to post-petition governance and the execution of transactions designed to facilitate emergence, a sale, or an orderly wind-down. In addition, Allurie advises companies on dissolution and wind-down matters, both in and out of bankruptcy, including governance considerations, asset dispositions, and stakeholder negotiations.

Prior to joining the firm, Allurie practiced corporate law in the Delaware office of Wilson Sonsini Goodrich & Rosati. During law school, Allurie was a judicial intern for the Honorable D. Brooks Smith of the U.S. Court of Appeals for the Third Circuit. Following graduation, she practiced at Richards, Layton & Finger in Wilmington, Delaware.
