Key Decisions of 2015 in Delaware Alternative Entity Law

Partner Tammy L. Mercer, and her colleague Richard J. Thomas, co-authored an article in the Delaware Law Review entitled, "Key Decisions of 2015 in Delaware Alternative Entity Law." This article discusses three opinions that provide insight into the Court's interpretation of fiduciary duties in the alternative entity context. The article goes on to outline, in the Court's opinion, the distinction between direct and derivative claims in the alternative entity context. The article concludes with an analysis of In re Carlisle Etcetera LLC, a case in which a "non-member of a limited liability company had standing to seek an equitable dissolution of an entity where the same was not available to the non-member by statute or by the parties’ agreement."

The Delaware Law Review publishes scholarly articles with a particular focus on Delaware law. The journal is published semi-annually by the Delaware State Bar Association.
