Two Young Conaway Corporate Litigation Partners Speak at the 2023 ABA Business Law Section Fall Meeting

The American Bar Association's Business Law Section is holding its Fall Meeting in Chicago from September 7, 2023 to September 9, 2023. Two of Young Conaway's Corporate Litigation and Counseling Partners are scheduled to speak.

Delaware Alternative Entity Case Law Update

Tammy Mercer, Partner and Chair of Young Conaway's Corporate Litigation and Counseling Section, will be participating in a CLE panel on Thursday, September 7th beginning at 10:00 AM.  She will be joined by Tarik J. Haskins, Partner, at Morris, Nichols, Arsht & Tunnell LLP.

This program will focus on recent cases issued by the Delaware courts with respect to limited liability companies, partnerships, and statutory trusts--including cases regarding:

  • modification of fiduciary duties
  • contract interpretation
  • the application of the implied covenant of good faith and fair dealing

Panelists will also discuss drafting tips for transaction counsel in light of recent case law.

The Governance of a Distressed Business: Independent Directors For Hire

Corporate Partner Emily Burton will be participating in a CLE panel discussion beginning at 8:00 AM on Friday, September 8th. 

This program will explore the legal, ethical, and practical issues that occur when a distressed business creates challenges for board governance, engendering a practice of appointing new board directors for the purpose of a bankruptcy proceeding or other process, including repeat appointment of certain directors.
