Norman and Paschetto discuss "Don't Ask, Don't Waive"
The March 1, 2013 issue of the ABA Section of International Law’s International M&A and Joint Ventures Committee Newsletter, features an article by Young Conaway Partners, Elena Norman and John Paschetto. “Delaware Courts Consider ‘Don’t Ask, Don’t Waive’ Standstill Provisions,” discusses the impact of two recent rulings by the Delaware Court of Chancery which provide guidance concerning the provisions in confidentiality agreements, “particularly regarding whether such provisions comply with the Revlon duty of the target’s board of directors to secure the best value reasonably available for the stockholders in a change-of-control transaction.”
