Ratifying Defective Corporate Acts at Common Law and by Statute
Bloomberg Law's Corporate Practice Portfolio Series No. 111, co-authored by Emily Burton and Paul Loughman along with Delaware attorney Meryem Dede, examines Delaware law's approach to mistakes in corporate governance and corporate formalities. Delaware's approach to ratification at common law has historically been stricter than many states' requirements for ratification at common law. Delaware's approach to statutory ratification, set out in Del. Cod Ann. tit. 8 paragraph 204 and Del. Code Ann. tit. 8 paragraph 205 is unique to the state of Delaware as of the time of this publication.
